Board resolution 2026/226 also amends Article 6 of the articles of association, on capital, and instructs the bank to apply to the Banking Regulation and Supervision Agency (BDDK) and the Ministry of Trade for the permissions that the amendment and the increase require. Once they are granted, the change goes to shareholders at the first extraordinary general meeting. The filing does not say how the TL 1 billion will be paid in or when the meeting will be held.

The holding owns 90.999090 per cent of the bank and DHI Investment B.V. 9 per cent, with four group companies holding small amounts, the bank's KAP profile shows. Its shares are not traded; its debt instruments trade on Borsa İstanbul's outright purchases and sales market for qualified investors.

The filing gives no reason for the increase. Total assets reached TL 11.6 billion at the end of June, up from TL 9.6 billion at the end of 2025, with cash loans of TL 8.5 billion, or 73 per cent of assets, and total loans of TL 9.8 billion, the bank's interim report shows. Net profit for the six months was TL 158 million and equity about TL 2.1 billion. The capital adequacy ratio was 26.38 per cent at 30 June against 31.79 per cent at 31 December 2025, above the regulatory minimum, the report says. The bank also acted as intermediary on nine private sector debt issues in the first half.

The BDDK approved the bank's foundation on 19 March 2020, and it was registered on 22 June 2020 with initial capital of TL 200 million and began operating on 2 August 2021, its website says. The new capital would be twelve times that starting sum.

Other Turkish lenders are adding capital this autumn, among them Şekerbank with a rights issue at par, while funding costs move with the central bank's October rate cut.
